1. DESCRIPTION OF PROMOTION/PARTICIPATION

A. Dates of Promotion: The Promotion will be conducted beginning Sunday, April 26th, 2009 at approximately 12:00 noon ET and ending on or about Sunday November 15, 2009 at 11:59 pm ET.

B. Description and How to Enter:

Beginning Sunday, April 26th, 2009, log on to www.fulltiltpoker.net (the "Website") and click on the Promotion icon. Once on the "Promotion Page", you must register for an account in order to access the poker software application (the "Poker Room"). Enter your name, address, and telephone number according to the provided instructions and create a user name and password. Once you have created a user name, log on to the Poker Room to begin participating in the promotion." Full Tilt Poker will conduct round-the-clock 7 days a week. 360-player Face the Ace – Round 1 Sit & Go Freerolls ("Round 1 Freeroll") where one (1) participant will win an entry into a Face the Ace – Round 2 Freeroll ("Round 2 Freeroll") by winning Round 1. Round 1 Freerolls will run through Sunday, November 8th, 2009.

One (1) winner from each Round 1 Freeroll, as determined by Company based upon one player that has all the chips in play will receive an entry into a Round 2 Freeroll. Round 2 Freerolls will run each Sunday at 9:15 p.m. ET and Wednesday at 9:15 p.m. ET beginning Wednesday, April 29th, 2009 and will provide at least one (1) participant with an entry into a Face the Ace – Final Qualifier tournament (each a "Final Qualifier Tournament"). Participants who win an entry into a Round 2 Freeroll will be automatically registered for the next available Round 2 Freeroll. Round 2 Freerolls will run through Sunday, November 8th, 2009.

Winners from each Round 2 Freeroll will receive an entry into a Final Qualifier Tournament. The Final Qualifier Tournaments will run at 9:15 p.m. ET on Monday,July 16th, 2009, 9:15 p.m. ET on Monday, July 20th, 2009, 9:15 p.m. ET on Monday, August 3rd, 2009 and 9:15 p.m. ET on Monday, November 9th, 2009. Each Final Qualifier Tournament will provide the top 10 finishers (defined as the last ten (10) players with chips in play), with a Face the Ace prize package. Participants who win an entry into a Final Qualifier Tournament will be automatically registered for the next available Final Qualifier Tournament.

Full Tilt Poker.net reserves the right to change or modify this promotion at its sole discretion.

C. Obtaining Promotional Prize(s): If a participant cannot be contacted from the information provided on the Full Tilt Poker.net registration forms, the Company reserves the right to disqualify that participant at its sole discretion. Winners will be contacted via phone and/or email Winners will be required to return contest release forms and agreements to the company in order to claim prize.

2. PRIZE PACKAGE

Each winner of a Final Qualifier Tournament will be provided with a Face the Ace prize package. The Face the Ace prize package consists of:

- Airfare to and from Las Vegas for the winner and a guest (both of which must be at least 21 years of age)
- Four (4) nights at the Golden Nugget Hotel in Las Vegas (single room, double occupancy)
- $500 in spending money
- Approximate Retail Value of prize package: $3,000

While in Las Vegas, Face the Ace prize package winners will also receive the opportunity to audition to appear on an upcoming NBC poker related televisions show, tentatively titled "Face The Ace" (the "Show"). Prize package winners are not guaranteed to audition OR to appear on Face the Ace. Winners may be asked to complete standard television release forms and agreements before they participate in the audition, if any. Audition has no Approximate Retail Value. The nature of the audition, if any, will be determined by the producers of the Show (the "Producers") in their sole and exclusive discretion. The Producers are NOT obligated to broadcast or otherwise use or exploit the audition or any part thereof and any decision to do so is in its sole and exclusive discretion. . Producers will determine all details of the audition, if any, in their sole discretion, subject to availability and production exigencies. Winners must be available during the Show’s production schedule and on the dates selected by Sponsor. If the Show is not produced or if the Show’s production is cancelled, rescheduled or postponed prior to Winner’s trip, or in the event that any prize component is not available for any reason, then the remaining elements of the prize shall be awarded and shall constitute full satisfaction of Sponsor’s prize obligation to winners and no additional compensation will be awarded.

Due to the nature of television, the broadcast date and time of each first run episode of the Show is subject to change.

Prize package winners who are selected to appear on the show are not guaranteed to have their experience aired on NBC, but will keep any prize money they win, if any regardless of whether or not they appear in the telecast.

3. ELIGIBILITY & LIMITATIONS

Participants must be at least 21 years old at the time of entry as determined by the Company in its sole discretion. Any prize package winners are subject to a background check. Participant assumes any and all liability for acceptance and use of the prize package. Only one (1) entry per person. Only one (1) prize package per person for the Promotion. Employees of the Promotion Entities (as defined below) and members of the immediate family (as defined below) or member of the same households of any such persons are not eligible to participate and win; additionally, all affiliates and subsidiary companies, their advertising and promotional agencies, representatives, assignees and beneficiaries, and each of their immediate family members (regardless of where they reside) or member of the same households of said affiliates (whether or not related), their contractors, employees and directors are not eligible. Promotion Entities, as referenced herein, shall include Company, NBC Universal Inc., and their respective parent, subsidiary, and affiliate companies, and administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Promotion. As used herein, the term "immediate family" includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as "in-laws," or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension.

4. TELEPHONE & DELIVERY DISCLAIMER

Participants are restricted to use of ordinary and typical computer equipment and internet access. The Company disclaims all liability for the inability of a participant to complete or continue an entry due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond the Company's control, or otherwise. The Company disclaims any liability for delayed or late entries due to technical difficulties or transmission errors. The Company disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of any item sent by electronic transmission. The Company is not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an online entrant's ability to participate in the Promotion, and any injury or damage to entrant's or any other person's computer related to or resulting from participating in or downloading any information necessary to participate in the Promotion.

5. PUBLICITY

By participating, where allowed by law, all participants and winner(s) grant the Promotion Entities permission to use their names, biographical information, characters, photographs, voices, and likenesses in connection with promotion of this and other Promotions in any and all media, now or hereafter known throughout the world in perpetuity and waive any claims to royalty, right, or remuneration for such use. By participating, where allowed by law, participants agree that the Company may disclose personal information obtained from participants in the Promotion to third parties and use such information for marketing and other purposes

6. RELEASE

By entering the Promotion, each participant agrees for participant and for participant’s heirs, executors and administrators (a) to release and hold harmless the Promotion Entities and their respective parent, subsidiary, and affiliate companies and administrative, advertising, and promotion agencies and any other entity involved in the development, administration, promotion, or implementation of the Promotion, and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation or damage that may occur, directly or indirectly, whether caused by negligence or not, from such participant’s participation in the Promotion (including any travel related thereto) and/or his/her acceptance, possession, use, or misuse of a prize, or any portion, thereof; (b) to indemnify Released Parties from any and all liability resulting or arising from the Promotion and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provided exclusively by the prize supplier that are sent along with a prize; and (c) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Promotion itself, and to be bound by all actions of Company, whose decisions are final and binding. Failure to comply with these conditions may result in disqualification from the Promotion.

7. TAXES

Any valuation of the promotional prize(s) as stated above is based on available information provided to the Company, and the value of any prize awarded to a winner may be reported for tax purposes as be required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes and paying any expenses associated with any promotional prize(s) which are not specifically provided for in the Official Rules Prizes are not transferable or exchangeable for any other prize(s) except as expressly authorized by the Company.

8. CONDUCT & DECISIONS

By participating in the Promotion, participants agree to be bound by the decisions of Company. Persons who violate any rule, gain unfair advantage in participating in the Promotion, or otherwise participate in the Promotion or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Company will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Promotion and the Company's decisions concerning such disputes shall be final. If the conduct or outcome of the Promotion is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Company, the Company reserves the right to terminate this Promotion, or make such other decisions regarding the outcome as the Company deems appropriate. All decisions will be made by the Company and are final and binding. The Company may waive any of these rules in its sole discretion.

ANY ATTEMPT BY A PROMOTIONANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROMOTION, TELEPHONE SYSTEMS OR WEBSITE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF APPLICABLE CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, COMPANY RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPATE TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

9. MISCELLANEOUS

Each participant may be required by Company to submit proof of eligibility to claim the promotional prize(s). Void where prohibited. Company may substitute promotional prizes, amend the rules, or discontinue the Promotion at any time as may be posted on the website. The Promotion is subject to change at any time. The Promotion is a package of promotional prize(s) and cannot be segregated or otherwise separated by the participant. All promotional prize(s) are Non-Refundable and Non-Transferable. There are no exceptions. The Company disclaims any responsibility to notify participants of any aspect related to the conduct of the Promotion. All participant entries shall become the property of the Company and will not be returned to participants.

10. COMPLIANCE WITH APPLICABLE LAW

The conduct of the Promotion is governed by applicable laws, if any, which take precedence over any rules which may be contrary to or inconsistent with those laws as stated above.
